A brief introduction to the legal basis<\/h2>\n\n\n\n

Das Gesellschaftsrecht bildet das juristische R\u00fcckgrat unserer Wirtschaftswelt und regelt alle wesentlichen Facetten des Unternehmensrechts, von der Gr\u00fcndung, zur Unternehmensf\u00fchrung bis hin zur Liquidation (Aufl\u00f6sung)  von Unternehmungen (Gesellschaften).<\/p>\n\n\n\n

I. Foundation<\/strong><\/h2>\n\n\n\n

Every company founder inevitably has to deal with central questions of company law at a very early stage. As a rule, the first point of contact with company law is the question of the legal form of the company.<\/p>\n\n\n\n

German and European company law offers numerous structuring options to choose from. The possible legal forms can be roughly divided into partnerships and corporations.<\/p>\n\n\n\n

Partnerships include the following, among others:<\/p>\n\n\n\n

\u2013 Gesellschaft b\u00fcrgerlichen Recht (GbR)
\u2013 Offene Handelsgesellschaft (OHG)
\u2013 Kommanditgesellschaft (KG)
\u2013 Partnerschaftsgesellschaft (PartG)<\/p>\n\n\n\n

Corporations include the following, among others:<\/p>\n\n\n\n

\u2013 Gesellschaft mit beschr\u00e4nkter Haftung (GmbH)
\u2013 Aktiengesellschaft (AG)
\u2013 Unternehmergesellschaft (UG)<\/p>\n\n\n\n

Daneben existieren \u201eMischformen\u201c aus Personen- und Kapitalgesellschaften, die etwa die Steuervorteile der Personengesellschaft und die Haftungsbeschr\u00e4nkung der Kapitalgesellschaft in sich vereinen. Die wohl bekannteste \u201eMischform\u201c ist die GmbH & Co. KG. An dieser Stelle sei angemerkt, dass es sich bei der GmbH & Co. KG streng genommen um keine wirkliche \u201eMischform\u201c handelt. Im Au\u00dfenverh\u00e4ltnis handelt es sich hierbei formal um eine Kommanditgesellschaft.<\/p>\n\n\n\n

Innerhalb der Europ\u00e4ischen Union gibt es noch die M\u00f6glichkeit, europ\u00e4ische Gesellschaftsformen zu gr\u00fcnden und in die jeweiligen nationalen Handelsregister eintragen zu lassen. Zu den bekanntesten Rechtsformen z\u00e4hlt wohl die Europ\u00e4ische Aktiengesellschaft (Societas Europaea, SE).<\/p>\n\n\n\n

Each of these legal forms has advantages and disadvantages. Before choosing the \"right\" legal form, the client's medium and long-term objectives must be carefully worked out. Choosing the \"wrong\" legal form can result in considerable tax disadvantages, fines under capital market law or even, in the worst case, financial ruin (if the shareholder is personally liable).<\/p>\n\n\n\n

II. Corporate Management<\/strong><\/h2>\n\n\n\n

In addition to the choice of legal form, questions of company management play a crucial role for every company founder. Inaccuracies in regulating the modalities of company management can \"take revenge\", especially in times of crisis.<\/p>\n\n\n\n

Partners are only human. Everyone reacts differently under pressure. Some people lose their nerve and just want to get out of the company. Others feel \"ignored\" and fall into a kind of \"blockade attitude\", which can lead to every decision being opposed. In this context, it is advisable to draw up shareholder agreements, ideally at the time the company is founded. Such agreements regulate the relationships between the shareholders and, unlike the shareholders' agreement or articles of association, do not have to be filed in the commercial register.<\/p>\n\n\n\n

III. Sale of the company \/ liquidation \/ restructuring<\/strong><\/h2>\n\n\n\n

An entrepreneur is characterised by entrepreneurial risk and entrepreneurial initiative. Entrepreneurial risk often manifests itself in the fact that the company fails or does not develop as hoped.<\/p>\n\n\n\n

Neben der Liquidation (Aufl\u00f6sung) als klassisches Mittel der \u201eBeseitigung\u201c einer Unternehmung, besteht u. a. die M\u00f6glichkeit des Verkaufes (Share- oder Asset-Deal), der L\u00f6schung durch das Registergericht (vgl. \u00a7 394\u00a0Familienverfahrensgesetz, FamFG) oder der Umwandlung (Verschmelzung). In den letzten Jahren hat vor allem das Umwandlungsrecht in der gesellschaftsrechtlichen Praxis an Bedeutung gewonnen. Vor allem Konzerne bevorzugen es, Tochtergesellschaften mit unwirtschaftlichen Sparten zu \u201eschlucken\u201c statt solche medienwirksam zu ver\u00e4u\u00dfern oder zu liquidieren.<\/p>\n\n\n\n
