Some readers may have already had experience with flat-rate charges. Not paying an invoice on time, not having enough money in your current account or driving too fast in a hire car. Many a company resorts to flat-rate fees in order to be \"remunerated\" for the processing work involved.<\/p>\n\n\n\n

Viele dieser in allgemeinen Gesch\u00e4ftsbedingungen (AGB) oder Preislisten vorhandenen Pauschalen sind jedoch unwirksam.<\/strong><\/p>\n\n\n\n

Those affected very often accept the processing fees demanded of them and pay, even though there is often no entitlement to this under substantive law. Some of those affected believe that they themselves are \"to blame\" for the \"lousiness\" anyway. Others assume that there is a legal obligation to pay, as this is after all stated in the general terms and conditions. Still others have doubts, but shy away from the \"effort\" and pay.<\/p>\n\n\n\n

The following article is intended to provide an overview of the common flat-rate fees that appear in general terms and conditions. Furthermore, it is intended to show under which conditions a flat fee is effective at all. <\/p>\n\n\n\n

In detail:<\/p>\n\n\n\n

I. What are flat-rate fees?<\/h2>\n\n\n\n

A \"flat-rate fee\" is nothing other than a predetermined amount of money that is charged for certain actions by a contractual partner. A classic example of this is the so-called \"flat-rate reminder fee\". If a debtor fails to fulfil a payment obligation arising from a contractual relationship, either intentionally or due to negligence, the creditor usually sends a reminder. The other contractual partner (debtor) is then required to pay a lump sum of money for this reminder, which is determined in advance.<\/p>\n\n\n\n

Flat fees in connection with returned direct debits are also very common. If the debtor of a claim has issued the creditor with a direct debit mandate to collect the amount owed from the current account, it can happen that the debit fails because there is not enough money in the current account. In this case, companies often ask for a certain amount of money to be paid in order to make another direct debit attempt.<\/p>\n\n\n\n

In connection with car hire contracts, \"processing fees\" are also widespread. The commercial car rental company receives a predetermined amount of money in the event that the renter commits a traffic offence, as a result of which the renter's data must be handed over to the regulatory authorities. It is not uncommon for the processing fee to be just as high or sometimes even higher than the fine imposed by the authorities.<\/p>\n\n\n\n

II. Effectiveness of a flat fee<\/h2>\n\n\n\n

F\u00fcr die Beurteilung der Wirksamkeit einer Geb\u00fchrenpauschale kommt \u00a7 309 Nr. 5 BGB eine entscheidende Rolle zu.<\/p>\n\n\n\n

There it says:<\/p>\n\n\n\n

\u00a7 309 Klauselverbote ohne Wertungsm\u00f6glichkeiten<\/strong><\/p>\n\n\n\n

Even insofar as a deviation from the statutory provisions is permissible, it is ineffective in general terms and conditions unwirksam<\/strong><\/p>\n\n\n\n

5.  (Pauschalierung von Schadensersatzanspr\u00fcchen)<\/p>\n\n\n\n

die Vereinbarung eines pauschalierten Anspruchs des Verwenders auf Schadensersatz oder Ersatz einer Wertminderung, wenn a) die Pauschale den in den geregelten F\u00e4llen nach dem gew\u00f6hnlichen Lauf der Dinge zu erwartenden Schaden oder die gew\u00f6hnlich eintretende Wertminderung \u00fcbersteigt oder b) dem anderen Vertragsteil nicht ausdr\u00fccklich der Nachweis gestattet wird, ein Schaden oder eine Wertminderung sei \u00fcberhaupt nicht entstanden oder wesentlich niedriger als die Pauschale;<\/p>\n\n\n\n

\u2026  <\/p>\n\n\n\n

Liegt einer der in \u00a7 309 Nr. 5 BGB aufgef\u00fchrten Alternativen vor, so ist die entsprechende AGB-Klausel insgesamt unwirksam. Eine geltungserhaltende Reduktion dergestalt, dass etwa nur eine angemessene Geb\u00fchr zu zahlen w\u00e4re, findet nicht statt (\u00a7 306 BGB).<\/p>\n\n\n\n

2. applicability of Section 309 No. 5 BGB<\/strong><\/p>\n\n\n\n

\u00a7 309 BGB findet im Rahmen einer gerichtlichen AGB-Kontrolle nur dann unmittelbare<\/strong> Anwendung, wenn es sich um eine Klausel handelt, die von einem Unternehmer (\u00a7 14 BGB) gegen\u00fcber einem Verbraucher (\u00a7 13 BGB) verwendet wird.<\/p>\n\n\n\n

Im unternehmerischen Rechtsverkehr, also bei Vertr\u00e4gen zwischen Unternehmern, findet die Norm mittelbare<\/strong> Anwendung. Im Rahmen der Inhaltskontrolle nach \u00a7 307 BGB wird die sich aus \u00a7 309 Nr. 5 BGB ergebende Wertung ber\u00fccksichtigt. Daraus folgt, dass auch im unternehmerischen Rechtsverkehr ein Unternehmer nur solche Geb\u00fchrenpauschalen gegen sich gelten lassen muss, die sich am durchschnittlich eintretenden Schaden bzw. an der durchschnittlich eintretenden Wertminderung orientieren.<\/p>\n\n\n\n

3.  Voraussetzungen des \u00a7 309 Nr. 5 lit. a) BGB<\/strong><\/p>\n\n\n\n

A flat-rate fee is ineffective if, among other things, it exceeds the damage to be expected in the normal course of events or the usual reduction in value.<\/p>\n\n\n\n

The casuistry on this is numerous.<\/p>\n\n\n\n

    Die Kasuistik zu Pauschalgeb\u00fchren in Bezug auf R\u00fccklastschriften zeigt ein \u00e4hnliches Bild. Folgende Betr\u00e4ge wurden in diesem Zusammenhang durch die Rechtsprechung f\u00fcr unwirksam<\/strong> erkl\u00e4rt:<\/p>\n\n\n\n

      The case law overview clearly shows that the courts apply an extremely strict standard when it comes to measuring flat-rate fees against substantive law.<\/p>\n\n\n\n

      4.  Voraussetzungen des \u00a7 309 Nr. 5 lit. b) BGB<\/strong><\/p>\n\n\n\n

      Unwirksam ist eine Geb\u00fchrenpauschale auch dann nach \u00a7 309 Nr. 5 lit. b) BGB, wenn sie dem anderen Vertragsteil nicht ausdr\u00fccklich den Nachweis gestattet, dass ein Schaden oder Wertminderung \u00fcberhaupt nicht oder wesentlich geringer als die Pauschale entstanden ist.<\/p>\n\n\n\n

      Die Gestattung nach \u00a7 309 Nr. 5 lit. b) BGB muss ausdr\u00fccklich<\/strong> erfolgen und im unmittelbaren Zusammenhang<\/strong> mit der entsprechenden Klausel stehen. Ein Hinweis in einer Fu\u00dfnote oder in einer anderen Klausel ist unzul\u00e4ssig und f\u00fchrt zur Unwirksamkeit der gesamten Klausel.<\/p>\n\n\n\n

      If the clause refers to a separate price list or similar document with regard to the amount of the respective flat rate, it is necessary that the authorisation of counter-evidence is also included there.<\/p>\n\n\n\n

      III. Actual legal practice<\/h2>\n\n\n\n

      Contrary to the strict handling by the courts, flat-rate fees are included in an extremely large number of general terms and conditions. This naturally leads to the question of why this is the case. The answer is simple.<\/p>\n\n\n\n

      Many entrepreneurs include such fee clauses in their general terms and conditions, despite being aware of their ineffectiveness, in the hope that the other contracting party will not object.<\/p>\n\n\n\n

      A simple cost-benefit calculation from the company's point of view.<\/p>\n\n\n\n

      For a variety of reasons (see above), most affected parties do not defend themselves against ineffective flat-rate fees. As a result, the user of such a clause ends up paying the bill. Those who invoke the invalidity of the clause often have the respective fee waived as a supposed gesture of goodwill. As an entrepreneur, there is also the risk of being warned by consumer protection organisations or competitors for a fee due to ineffective GTC clauses. But even this \"risk\" does not seem to deter most users.<\/p>\n\n\n\n

      IV. Conclusion<\/h2>\n\n\n\n

      We can only advise everyone not to accept flat-rate fees without reflection and to make any payments. In individual cases, a lawyer should always check the respective GTC clause and give their opinion. Our experience shows us that it will be worthwhile in many cases.<\/p>\n\n\n\n
