Corporate legal transactions and their special features

Different requirements apply in commercial legal transactions than in legal transactions with consumers. Provisions that would be ineffective in relation to consumers may be effective in relation to entrepreneurs. Provisions that protect a consumer, for example, do not necessarily have to apply in favour of a business. The legislator assumes that a consumer is at a disadvantage in relation to a trader, so that the latter must be protected by corresponding provisions. Protective provisions in favour of entrepreneurs are the exception rather than the rule.

Errors made in contract texts or general terms and conditions (GTC) can have serious consequences. Particularly in the area of Internet commerce (e-commerce), there are various legally prescribed mandatory disclosures. In the worst case scenario, failure to provide mandatory information can lead to competitors issuing warnings and demanding that cease-and-desist declarations with a penalty clause be issued. This not only costs time, which you don't have as an entrepreneur anyway, but also money. It is better to "put your money where your mouth is" and have your own contract texts checked than to be left holding the bag at a later date.

If publications have to be made in certain registers (e.g. commercial register, etc.), we will prepare the documents for you and submit them to the relevant authorities, if necessary with the assistance of a notary.

4. Success and Continuous Adaptation

If desired, we will continue to advise you after your matter has been successfully concluded and help you to adapt your contractual texts or procedures to the applicable legal situation.
